Terms of service

PactaHQ is operated by VZNEXT LLC of 5000 Thayer Center, Suite C, Oakland, MD 21550, United States (“we”). It applies to you if you hold an account, and to you if you sign a document someone sent through PactaHQ.

By creating an account or signing a document, you accept these terms. If you do not, do not use the service.

The Free plan covers one person and stays free. Pro costs $6.99 a month and covers your whole organisation rather than charging per seat.

Pro is billed monthly in advance by card, through Stripe. Card details are entered on Stripe’s own payment page and are never seen or stored by PactaHQ. You can cancel at any time from Settings; cancelling stops the next payment and Pro runs to the end of the period you have already paid for. We do not refund part-months.

If a payment fails we will keep your account on Pro while Stripe retries. If it stops being paid, the organisation returns to Free: new invitations and branding switch off, but nobody is removed from your team and no document is deleted.

If we change what a plan costs or includes, we will tell you before it affects you. Signed documents you have already completed remain yours, and remain verifiable, whatever plan you are on afterwards.

PactaHQ creates electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act (15 U.S.C. 7001) and the Uniform Electronic Transactions Act. Where those apply, a signature made here has the same legal effect as one made with a pen.

Before signing, every signer is shown a disclosure and must agree to use electronic records. A signer may decline instead, and the sender is told.

Some documents cannot be signed electronically, whatever a service claims. Wills, certain trusts, court filings, some notices about family or property matters, and documents in jurisdictions we have not built for are examples. Deciding whether a document may lawfully be signed this way is the sender’s responsibility, not ours. PactaHQ has been built against United States law and nothing here is a claim about eIDAS or any other regime.

PactaHQ is not a law firm and none of this is legal advice.

• Give accurate details and keep your password to yourself. What happens under your account is treated as done by you.
• You are responsible for who you invite into your organisation. Members can see the documents it owns.
• Tell us promptly if you think someone else has your account.

• Send documents you have no right to send, or add someone as a signer without a genuine reason to.
• Impersonate anyone, or misrepresent who is asking for a signature.
• Use PactaHQ for fraud, harassment, or to obtain a signature by deception.
• Upload malware, or try to break, overload or work around the service's limits and security.
• Send bulk unsolicited email through the signing request system.

We may suspend an account that does these things. Where we can, we will say why first.

Plans say unlimited documents and signatures, and that is meant literally for anyone running a business on PactaHQ. Send as much as your work requires.

It is not a licence to send at industrial scale. Every signing request costs us money to deliver, and a domain that starts sending like a bulk mailer gets treated as one, which would push everybody else’s signing requests into spam folders. So the limit is other people’s deliverability, not a number.

If your use ever reaches that point we will contact you and agree something workable first. We will not cut you off without warning for using the product the way it is meant to be used.

You keep all rights in what you upload. We store and process it only to run the service: to show it to the people you send it to, to place signatures on it, to seal it, and to email the result. We claim no licence beyond that, and we do not use your documents to train anything.

When everyone has signed, PactaHQ produces a completed PDF, records its SHA-256 hash, and signs that hash with an Ed25519 key. That lets a later change to the file be detected. Alongside it sits a hash-chained audit trail that cannot be edited without the break being visible.

This is strong evidence of what happened. It is not a guarantee of any particular outcome in any particular dispute, and we do not promise one.

We aim to keep PactaHQ running and to look after your data carefully, including taking backups. We do not offer a guaranteed uptime figure, and you should not treat PactaHQ as the only copy of anything that matters. Download your completed documents and keep them.

You may stop using PactaHQ and ask us to delete your account at any time. We may end an account that breaks these terms, or discontinue the service, giving reasonable notice and a chance to export your documents where we can.

Some records survive the end of an account: see the privacy policy on why signed documents and their audit trails are not unilaterally erasable.

PactaHQ is provided as it is, without warranties beyond those the law does not let us exclude. To the extent the law allows, we are not liable for indirect or consequential loss, for lost profits, or for a document you sent that turned out not to be valid for its purpose.

Our total liability to you is limited to the greater of US$100 or the fees you paid in the previous 12 months. Nothing here limits liability for fraud, or for anything that cannot lawfully be limited.

These terms are governed by the laws of Maryland, United States, and the courts of Baltimore City, Maryland have exclusive jurisdiction.

We may update these terms. If a change materially affects you, we will tell you before it takes effect. Continuing to use PactaHQ afterwards means you accept the updated terms.
